AEM Safety Materials Store – Terms and Conditions

Welcome to the AEM Safety Materials Store ("Store"), operated by the Association of Equipment Manufacturers ("AEM," "we," "our," or "us"). These Terms and Conditions (“Terms”) apply when you (“you”, “your” or “purchaser”) access, browse, or purchase products through this Store. If you do not agree to these terms, please do not use the Store.
1. About AEM Safety Materials
AEM Safety Materials are developed to support safer equipment operation, maintenance, onboarding, and training (“products”). These materials represent industry consensus-based best-practice guidance developed through AEM committee processes and are intended to complement, not replace, original equipment manufacturer ("OEM") operator manuals, safety instructions, applicable regulations, professional judgment or employer safety programs.
You remain solely responsible for identifying and ensuring that all safety, operational, regulatory, and training requirements applicable to your organization, personnel, equipment and location are followed.
2. Product Availability and Pricing
All products, pricing, descriptions, and availability are subject to change without notice.
AEM reserves the right to:
- Correct pricing, description or typographical errors;
- Modify or discontinue a product or products at any time;
- Refuse or cancel an order for any reason, including pricing inaccuracies, inventory limitations, suspected fraud, or violation of these Terms or another legitimate business reason.
All prices are listed in U.S. dollars unless otherwise specified. Applicable taxes, shipping charges, and other fees will be shown during checkout.
3. Orders and Payment
By placing an order, you represent that you are authorized to use the payment method provided and that all the information you submit is accurate and complete.
Payment must be received and successfully processed before an order will be fulfilled unless alternate payment arrangements have been approved by AEM. AEM reserves the right to verify order information prior to processing or shipment. If AEM cancels an order after payment, AEM will refund the amount paid for the cancelled item. Electronic records, confirmations, and acceptance of these Terms, have the same effect as paper record and handwritten signatures to the extent permitted by law.
4. Shipping and Delivery
Shipping and delivery dates are estimates only and are not guaranteed.
Risk of loss and title for physical products pass to the purchaser upon delivery to the carrier unless applicable law requires otherwise. AEM is not responsible for delays caused by carriers, weather, customs processing, supply chain disruptions, or circumstances beyond AEM's reasonable control.
You are responsible for providing complete and accurate shipping information.
5. Returns and Refunds
Unless otherwise stated by a product description or separate policy, printed materials, downloadable content, digital products, licensed materials, and customized products are non-refundable once delivered or accessed.
Requests regarding damaged, defective, or incorrect shipments must be submitted to AEM within thirty (30) days after delivery. AEM may require reasonable documentation before issuing a replacement or refund.
Refunds or replacements are provided at AEM's sole discretion. Nothing in these Terms limit any non-waivable right or remedy available under applicable law.
6. Intellectual Property
The Store and its content, including safety manuals, videos, training materials, graphics, text, logos, designs, digital resources, and related materials, are owned by AEM or its licensors and are protected by applicable intellectual property laws.
Unless AEM or an applicable license expressly permits otherwise, you may not:
- Copy, reproduce, modify, distribute, republish, upload, display, sell, or transmit a product or Store content.
- Share digital materials beyond the scope of the applicable purchase or license; or
- Remove a copyright, trademark, or other proprietary notice.
Any unauthorized use may result in suspension or termination of access and other remedies available to AEM.
7. Licensing and Permitted Use
Certain products may be sold subject to separate licensing agreements or specific usage rights. Unless otherwise authorized in writing:
- Products are intended solely for the purchaser's internal business, educational, or training purposes.
- Products may not be incorporated into commercial training programs, software, publications, websites, or other products for resale.
- Distribution beyond the licensed organization is prohibited.
Additional licensing terms, where applicable, will govern and take precedence over these Terms.
8. No Professional, Legal, or Regulatory Advice
AEM Safety Materials are educational and informational resources intended to support safe work practices and equipment training. They do not constitute legal, engineering, regulatory, compliance, operational, or professional advice.
Users should consult qualified professionals and applicable laws, regulations, standards and manufacturer’s instructions or manuals to determine requirements specific to your operations, equipment, workforce, and location.
9. Disclaimer of Warranties
THE STORE AND ALL PRODUCTS ARE PROVIDED "AS IS", “WHERE IS” AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED AVAILABILITY.
AEM DOES NOT WARRANT THAT USE OF ANY PRODUCT WILL PREVENT INJURY, ACCIDENTS, PROPERTY DAMAGE, OPERATIONAL LOSS, OR REGULATORY NON-COMPLIANCE. SOME JURISDICATIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM:
- USE OF OR INABILITY TO USE THE STORE;
- USE OF OR RELIANCE ON PRODUCTS OR CONTENT;
- BUSINESS INTERRUPTION;
- LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL;
- PERSONAL INJURY OR PROPERTY DAMAGE.
AEM'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PURCHASE SHALL NOT EXCEED THE AMOUNT PAID FOR THE APPLICABLE PRODUCT. THESE LIMITATIONS DO NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
11. Acceptable use.
You may not:
- Misuse the Store or attempt unauthorized access to any system(s);
- Interfere with Store operations or security measures;
- Violate intellectual property or other rights;
- Submit fraudulent, misleading, or unlawful information.
AEM reserves the right to suspend or terminate Store access for violations of these Terms.
12. Privacy
Personal information collected through the Store is handled in accordance with AEM's Privacy Notice. By using the Store, you consent to the collection and use of information as described in the applicable Privacy Notice which applies to AEM’s websites, services, events and online activities. Please review the Privacy Notice before using the Store or submitting personal information.
13. Changes to These Terms
AEM may update these Terms and Conditions at any time. Updated versions become effective upon posting to the Store. Continued use of the Store constitutes acceptance of the revised Terms. Changes apply prospectively when posted, except that AEM will provide additional notice or obtain renewed acceptance when required by law or when a material change affects an existing transaction.
14. Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in, and the parties consent to the jurisdiction of such courts. Any dispute arising out of or related to these Terms or the Store must be brought exclusively in the state courts located in Cook County, Illinois, or the federal courts located in the Northern District of Illinois, and each party consents to the personal jurisdiction and venue of these courts. Nothing limits your rights under a law that cannot be waived by contract.
15. General Terms.
These Terms, together with any product specific terms presented at purchase, constitute the entire agreement between you and AEM concerning the Store and the applicable purchase(s). If any provision is unenforceable, it will be modified to the minimum extent to make it enforceable, and the remaining provisions will remain in effect. AEM’s failure to enforce a provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without AEM's prior written consent.
